Welcome to Gym Ratchet. These Terms of Service (“Terms”) govern your use of gymratchet.com (the “Site”) and purchases made through the Site.

By accessing or using the Site or placing an order, you agree to these Terms. If you do not agree with these Terms, please do not use the Site.

1. About Gym Ratchet

Gym Ratchet is an apparel brand offering clothing and related merchandise through gymratchet.com.

Throughout these Terms, “Gym Ratchet,” “we,” “us,” and “our” refer to Gym Ratchet. “You” and “your” refer to visitors, customers, and other users of the Site.

Our online store is hosted by Shopify, which provides the e-commerce platform that enables us to offer our products and services to you.

2. Online Store Terms

By using the Site, you represent that you are legally capable of entering into a binding agreement or are using the Site with the permission of a parent or legal guardian where required by applicable law.

You may not use our products, Site, or services for any unlawful or unauthorized purpose.

3. Products and Product Information

We make reasonable efforts to display our products, colors, designs, descriptions, sizing, and other details as accurately as possible.

However, colors and other product characteristics may appear differently depending on your device, screen settings, production process, garment manufacturer, and other factors.

Some photographs, digital renderings, lifestyle images, and mockups may be used to demonstrate how a design is expected to appear on a product. Minor differences between an image displayed online and the physical product you receive do not necessarily mean that the product is defective.

Product availability, designs, colors, sizes, specifications, and pricing may be changed or discontinued at any time without prior notice.

4. Made-to-Order Products and Fulfillment

Some Gym Ratchet products are made specifically after an order is placed. We work with third-party production and fulfillment partners to manufacture, package, and/or ship certain products.

Because products may be made to order, production time occurs before shipment.

Production and estimated delivery times displayed on the Site are estimates and are not guaranteed delivery dates.

Items within the same order may occasionally be produced or shipped separately and may arrive in different packages or at different times.

5. Orders

Submitting an order does not necessarily constitute our acceptance of that order.

We reserve the right to refuse, cancel, or limit an order when reasonably necessary, including in cases involving suspected fraud, pricing or inventory errors, payment problems, product availability, or misuse of the Site.

If we cancel an order after payment has been successfully processed, we will provide an appropriate refund for the canceled portion of the order.

You are responsible for reviewing your order information, including product, size, color, quantity, shipping address, and contact information, before submitting your order.

Because some products enter production shortly after an order is placed, we cannot guarantee that an order can be modified or canceled after it has been submitted.

6. Prices and Payment

Prices displayed on the Site are subject to change without notice.

Applicable taxes, shipping charges, and other charges will be displayed where required during checkout.

You agree to provide current, complete, and accurate billing, payment, and account information when making a purchase.

We reserve the right to correct typographical, pricing, or other errors on the Site. If an error materially affects an order that has already been placed, we may contact you, cancel the affected order, and issue an appropriate refund.

7. Shipping and Delivery

Shipping and delivery estimates are provided for convenience and are not guaranteed.

Delivery may be affected by carrier delays, severe weather, holidays, incorrect addresses, production delays, or other circumstances outside our reasonable control.

Customers are responsible for providing a complete and accurate shipping address.

8. Returns, Refunds, and Order Issues

Returns, refunds, replacements, exchanges, and claims involving damaged, defective, incorrect, or missing products are governed by our Returns & Refunds Policy.

Because certain products are made to order, restrictions may apply to returns, exchanges, and cancellations.

Nothing in these Terms is intended to eliminate consumer rights that cannot legally be waived under applicable law.

9. Intellectual Property

The Site and its content—including Gym Ratchet branding, logos, original graphics, artwork, designs, photographs, text, slogans, product designs, and other original material—are owned by Gym Ratchet or used with permission and may be protected by applicable intellectual-property laws.

Gym Ratchet™ and associated branding may not be used in a manner that falsely suggests affiliation, endorsement, sponsorship, or authorization.

You may not reproduce, sell, commercially exploit, distribute, modify, or create unauthorized merchandise using our protected content without prior permission, except where otherwise permitted by law.

10. User Submissions and Reviews

If you voluntarily submit a review, photograph, comment, feedback, or other content through features provided on the Site, you represent that you have the right to submit that material.

You may not submit content that is unlawful, fraudulent, defamatory, infringing, threatening, malicious, or otherwise violates another person's rights.

We may remove content from areas we control when reasonably necessary.

11. Third-Party Services

Our Site may rely on third-party providers for services including payment processing, production, fulfillment, shipping, analytics, and e-commerce functionality.

Third-party websites and services may operate under their own terms and privacy policies.

Gym Ratchet is not responsible for the independent content, policies, or practices of third-party websites or services that we do not control.

We make reasonable efforts to maintain accurate information and reliable operation of the Site. However, except where prohibited by law, we do not guarantee that the Site will always be uninterrupted, error-free, secure, or completely current.

Nothing in these Terms excludes warranties or protections that cannot legally be excluded under applicable consumer-protection law.

To the fullest extent permitted by applicable law, Gym Ratchet will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or purchase of products.

Nothing in these Terms limits liability where doing so would be prohibited by applicable law.

15. Indemnification

To the extent permitted by law, you agree to indemnify and hold Gym Ratchet harmless from claims, damages, liabilities, and reasonable expenses arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another person's rights.

16. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

17. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.
